Model Code of Conduct for Product Selling Agents (Independent Distributors)

1. Preamble & Core Values

As an Independent Product Selling Agent (Distributor) of Parivartan Wellness, you are the face of our brand. Our foundation rests on Quality, Trust, and Transparency. This Code of Conduct outlines the ethical standards and professional behavior expected of every agent to ensure a sustainable, fair, and win-win business environment for all.

2. Professional Conduct and Integrity

• Honesty and Fairness: Agents must conduct their business with the highest standards of honesty, integrity, and fairness.
• No Deceptive Practices: Agents shall not engage in any misleading, deceptive, or unfair trade practices.
• Respectful Interaction: Treat all consumers, prospective agents, and competitors with respect and professionalism. No high-pressure or aggressive sales tactics should ever be used.

3. Product Presentation and Claims

• Accurate Information: Agents must present Parivartan Wellness products truthfully and strictly in accordance with the official literature provided by the company.
• No Unauthorized Medical Claims: Since our products are Ayurvedic and wellness-based, agents must not claim that the products cure, treat, or prevent any specific chronic medical disease or replace prescribed medical treatments.
• Genuine Pricing: Products must be sold strictly at the Maximum Retail Price (MRP) or Distributor Price (DP) as mandated by the company. Agents must not alter packaging, labeling, or pricing.

4. Business Opportunity & Earnings Claims

• Realistic Income Representation: When presenting the Parivartan Wellness business opportunity, agents must provide a realistic picture. You must not misrepresent the business as a "get-rich-quick" scheme or guarantee fixed earnings.
• Transparency: Clearly explain that financial success with Parivartan Wellness depends entirely on individual hard work, skills, sales volume, and team leadership.
• No Joining Fees: Agents must explicitly clarify that there is no fee to join the business opportunity; compensation is strictly based on the sale of products.

5. Intellectual Property & Digital Etiquette

• Authorized Marketing Material: Agents must only use marketing materials, videos, and brochures officially approved by Parivartan Wellness management.
• Social Media Guidelines: When promoting the brand online, agents must not create official-looking social media pages or websites using the company's name/logo without written permission. All online posts must be positive, ethical, and truthful.
• No E-commerce Under-selling: Agents are strictly prohibited from listing Parivartan Wellness products on third-party e-commerce platforms (like Amazon, Flipkart, etc.) unless explicitly permitted by the company.

6. Compliance with Laws

• Direct Selling Guidelines: Every agent must comply with the Consumer Protection (Direct Selling) Rules, 2021 (and any subsequent amendments), as well as local state laws.
• Taxation: Agents are responsible for maintaining their own financial records and complying with tax obligations (such as filing Income Tax/GST where applicable) on their bonuses and commissions.

7. Zero Tolerance Policy

Parivartan Wellness maintains a strict zero-tolerance policy against:

• Cross-lining or poaching active members from other teams within the company.
• Defaming the company, its management, or fellow distributors.
• Selling counterfeit or expired products.

Declaration of Compliance: By registering as an Independent Product Selling Agent with Parivartan Wellness Private Limited, I hereby agree to strictly adhere to this Model Code of Conduct. I understand that any violation of these rules may result in the immediate suspension or termination of my distributorship ID without prior notice.

To maintain transparency, ethical business practices, and compliance with applicable laws, the Company and its Distributors shall strictly adhere to the following prohibitions:

I. Incentive Payments

No incentive, bonus, commission, or other payment, by whatever name it may be called, shall be offered or paid to a Distributor unless it is directly related to the Distributor's actual sales volume or other legitimate business performance as permitted under applicable laws.

II. Engagement in Other MLM Businesses

The Distributor, as well as his/her dependents, including dependent son or daughter, father, mother, or spouse, shall not engage in or promote the Multi-Level Marketing business of any other entity during their association with the Company. Any violation of this provision may result in termination of the Distributor's association with the Company, subject to the applicable terms and conditions.

III. Prohibited Online Selling Platforms

Distributors are prohibited from listing, marketing, advertising, promoting, discussing, or selling the Company's products or business opportunity on any website, platform, or online forum where products or services are offered through auction-based or similar modes of selling, unless expressly authorized by the Company.

IV. No Misrepresentation or Unethical Inducement

Distributors shall not compel, induce, mislead, or improperly influence any person to purchase the Company's products or to become a Distributor. No false, misleading, exaggerated, or unauthorized statement, representation, promise, or assurance shall be made regarding the Company, its products, income potential, or business opportunity.

V. Prohibition of Money Circulation Schemes

The Company and its Distributors shall not participate in, promote, operate, or encourage any money circulation scheme or any activity prohibited under the Prize Chits and Money Circulation Schemes (Banning) Act, 1978, or any other applicable law.

VI. Prohibition of Pyramid Schemes

The Company and its Distributors shall not promote, operate, or participate in any pyramid scheme or any scheme prohibited under applicable laws or regulatory guidelines. No pyramid scheme shall be promoted or represented as a product-selling business opportunity. The Company shall conduct its business based on genuine product sales and lawful business practices.

Every Distributor shall conduct their business activities in a professional, ethical, transparent, and lawful manner and shall comply with the Company's policies, terms and conditions, Code of Conduct, and all applicable laws and regulations.

I. Compliance with Company Policies

The Distributor shall comply with all policies, rules, procedures, terms and conditions, and guidelines issued by the Company from time to time.

II. Accurate Information

The Distributor shall provide complete, accurate, and truthful information to the Company at the time of registration and shall promptly update any information that may change during their association with the Company.

III. Product Knowledge and Representation

The Distributor shall acquire adequate knowledge of the Company's products and shall provide customers with accurate and complete information regarding product features, usage, pricing, benefits, and applicable terms. The Distributor shall not make any false, misleading, exaggerated, or unauthorized claims.

IV. Ethical Business Practices

The Distributor shall conduct all business activities honestly and fairly and shall not engage in any practice that may mislead, deceive, harass, or improperly influence customers, prospective Distributors, or other persons.

V. Customer Protection

The Distributor shall respect the rights of customers and shall provide proper information regarding product orders, pricing, delivery, returns, refunds, warranties, and other applicable policies of the Company.

VI. No Unauthorized Representations

The Distributor shall not represent themselves as an employee, legal representative, agent, partner, or authorized spokesperson of the Company unless specifically authorized by the Company in writing.

VII. Responsible Promotion of Business Opportunity

The Distributor shall present the Company's business opportunity honestly and responsibly. No Distributor shall guarantee or make misleading statements regarding income, earnings, financial returns, career opportunities, or business success.

VIII. Proper Use of Company Materials

The Distributor shall use only Company-approved promotional materials, product information, trademarks, logos, photographs, videos, and other intellectual property for business promotion and shall not modify or misuse such materials without prior authorization.

IX. Maintenance of Records

The Distributor shall maintain accurate records of their business transactions, customer orders, receipts, and other relevant documents as required by the Company and applicable laws.

X. Confidentiality

The Distributor shall maintain the confidentiality of all non-public information relating to the Company, its customers, Distributors, products, business systems, pricing, policies, and other proprietary information and shall not disclose or misuse such information without authorization.

XI. Compliance with Applicable Laws

The Distributor shall comply with all applicable laws, rules, regulations, consumer protection requirements, tax requirements, and other statutory obligations relating to their business activities.

XII. Respectful Conduct

The Distributor shall maintain professional and respectful conduct while interacting with customers, other Distributors, Company representatives, and the general public. Any form of harassment, discrimination, intimidation, abuse, or unethical conduct is prohibited.

XIII. No Unauthorized Commitments

The Distributor shall not make any commitment, guarantee, representation, or financial obligation on behalf of the Company without prior written authorization from the Company.

XIV. Reporting Violations

The Distributor shall promptly report any suspected fraudulent, misleading, unethical, or unauthorized activity relating to the Company's products or business opportunity to the Company through the designated communication channels.

XV. Responsibility for Conduct

The Distributor shall be responsible for their own business activities and for ensuring that their conduct does not adversely affect the reputation, goodwill, or lawful interests of the Company.
